1. Introduction

These Terms of Service (“Terms”) govern access to and use of the websites, platforms, APIs, dashboards, software, and communication services (collectively, the “Services”) provided by CBIS INDIA Private Limited (“CBIS”, “we”, “our”, or “us”).

By accessing or using the Services, you (“User”, “you”, or “your”) agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

2. Eligibility

To use the Services, you confirm that:

  • You are at least 18 years of age
  • You have legal capacity to enter into a binding contract
  • You are using the Services for lawful business purposes

If you use the Services on behalf of an organization, you represent that you have authority to bind that entity.

3. Services Description

CBIS provides cloud communication and CPaaS solutions, including but not limited to:

  • SMS & OTP delivery
  • WhatsApp Business messaging
  • Voice & IVR services
  • APIs and dashboards
  • Authentication, alerts, and notifications

Services may be updated, modified, or discontinued at CBIS's discretion.

4. Account Registration

  • You must create an account to access certain Services
  • All registration information must be accurate and up to date
  • You are responsible for maintaining confidentiality of login credentials
  • One account may not be shared unless explicitly permitted
  • CBIS is not responsible for unauthorized access caused by your failure to secure credentials

5. Acceptable Use

You agree NOT to use the Services to:

  • Send spam, phishing, or fraudulent messages
  • Violate TRAI, DLT, IT Act, DPDP Act, or any applicable laws
  • Infringe intellectual property or privacy rights
  • Transmit malware, harmful code, or abusive content
  • Engage in harassment, deception, or illegal activities
  • Circumvent system limits or security mechanisms

CBIS reserves the right to suspend or terminate access for violations.

6. Compliance Obligations

You are responsible for:

  • Obtaining end-user consent
  • Template registration and DLT compliance
  • Adhering to WhatsApp, telecom, and regulatory policies
  • Maintaining your own privacy policy

CBIS acts only as a service provider and is not responsible for your end-user interactions.

7. Fees & Payments

  • Fees are governed by your selected plan or agreement
  • All payments are non-refundable unless expressly stated
  • CBIS may suspend services for non-payment
  • Pricing may change with prior notice

8. Refund Policy

Refunds, if any, are governed by specific written agreements or regional policies published on the CBIS website. Unless otherwise stated, fees are non-refundable.

9. Data & Privacy

  • You retain ownership of your data
  • CBIS may process data to provide Services
  • Aggregated and anonymized data may be used for analytics
  • Data handling follows CBIS Privacy Policy
  • CBIS does not guarantee uninterrupted or error-free services

10. Intellectual Property

  • CBIS retains all rights to its platform, APIs, software, trademarks, and content
  • No rights are granted except limited, revocable use of Services
  • You may not copy, resell, reverse engineer, or misuse CBIS IP

11. Confidentiality

Any non-public information exchanged shall be treated as confidential unless disclosure is legally required.

12. Suspension & Termination

CBIS may suspend or terminate access for:

  • Violation of these Terms
  • Regulatory or legal reasons
  • Security or operational risks

You may terminate your account by providing written notice as per your agreement.

13. Disclaimer of Warranties

Services are provided “as is” and “as available”. CBIS disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

  • CBIS shall not be liable for indirect or consequential damages
  • Total liability shall not exceed the amount paid by you in the previous 3 months

15. Indemnification

You agree to indemnify and hold harmless CBIS from claims arising due to:

  • Your misuse of Services
  • Legal or regulatory violations
  • Content transmitted through your account

16. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Courts located in New Delhi shall have exclusive jurisdiction.

17. Modifications

CBIS may update these Terms from time to time. Continued use constitutes acceptance of updated Terms.

18. Marketing & Publicity

CBIS INDIA Pvt. Ltd. may use the Client's company name and logo on its website, presentations, case studies, and marketing materials solely for the purpose of showcasing its customer portfolio. Clients may request removal of their name or logo at any time by providing written notice.
